These Terms of Service ("Terms") govern your access to and use of the Adverizeo platform ("Service"). By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, Cookie Policy, and all applicable laws, including the General Data Protection Regulation (GDPR).

1. Definitions

• "User": An individual or organization using the Service.
• "Account": A registered profile on Adverizeo.
• "Personal Data": Any information relating to an identified or identifiable natural person, as defined in GDPR.
• "Controller": The User, who determines the purposes and means of processing personal data (e.g., when creating ads).
• "Processor": Adverizeo, which processes personal data on behalf of the Controller.
• "Generated Content": Advertising material created using our AI tools.
• "Input Data": Text, images, prompts, or other content you provide to the Service.
• "Service": The Adverizeo platform, including AI tools, dashboard, and related features.

2. Acceptance of Terms

By creating an account, subscribing to a plan, or otherwise using the Service, you confirm that:

• You are at least 18 years old.
• You have the legal authority to bind your organization (if applicable).
• You accept these Terms and acknowledge that Adverizeo acts as a data processor under GDPR.
• You have read and understood our Privacy and Cookie Policies.

If you do not agree, you must not use the Service.

3. Account Registration and Security

To access certain features, you must register an account with accurate and current information. You agree to:

• Maintain the confidentiality of your login credentials.
• Immediately notify us of any unauthorized access or security breach.
• Ensure your use complies with applicable laws, including GDPR, advertising standards, and sectoral regulations.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Data Protection and GDPR Compliance

Adverizeo is designed to comply with GDPR and acts as a data processor when handling personal data provided by Users. Key obligations:

• Lawful Basis: We process personal data only as instructed by you, the Controller, and as necessary to perform our contractual obligations.
• Data Minimization: We encourage Users not to input unnecessary personal data into ad prompts or audience descriptions.
• Subprocessors: We use trusted third parties (Railway, AWS, Stripe, Mailgun, OpenAI, Anthropic) under GDPR-compliant Data Processing Agreements (DPA). See our Subprocessors page for the full, current list.
• International Transfers: Data may be transferred outside the EEA. We use EU Standard Contractual Clauses (SCCs) to ensure adequate protection.
• Breach Notification: In the event of a personal data breach, we will notify you without undue delay and assist in reporting to supervisory authorities if required.
• Data Processing Agreement (DPA): Available upon request for B2B customers.

5. User Responsibilities Under GDPR

As the data Controller, you agree to:

• Only input personal data if you have a lawful basis (e.g., consent or legitimate interest).
• Inform individuals whose data may be used in AI-generated ads, where applicable.
• Respond to data subject requests (e.g., access, deletion) — we will assist upon request.
• Ensure all generated ads comply with advertising laws, platform policies, and data protection rules.
• Obtain necessary consents before using customer data in marketing content.

6. License to Use the Service

Subject to these Terms, Adverizeo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, in accordance with your subscription plan.

7. Content Ownership and Rights

Your Input Data: You retain all ownership rights to any content you upload or input (e.g., brand names, logos, product descriptions).

Generated Content: Adverizeo assigns to you all rights, title, and interest in the advertising content generated by the AI for your use, provided such use complies with these Terms and applicable laws. You are solely responsible for reviewing and approving all generated content before publication.

License to Adverizeo: You grant Adverizeo a non-exclusive, worldwide, royalty-free license to use, store, and process your Input Data solely to provide, improve, and secure the Service.

8. AI Limitations and Accuracy

The AI tools are designed to assist with content creation but do not guarantee legal compliance, accuracy, or suitability for every context. You are responsible for ensuring that all generated ads comply with local advertising laws, sector-specific regulations, and platform policies (e.g., Google Ads, Meta).

We do not use your Input Data or Generated Content to train AI models unless you explicitly opt in to that specific use.

Third-Party API Usage: By connecting external advertising accounts (such as Google Ads), you grant Adverizeo limited, read-only access to retrieve performance metrics for analytics and reporting purposes. Adverizeo acts strictly as a data viewer in this context and will not modify, create, pause, or delete campaigns, ad groups, keywords, or bids on your behalf via any API.

9. Subscription & Payments

Access to advanced features requires a paid subscription. Fees are listed on our pricing page and billed in advance. All payments are non-refundable except as required by consumer law.

Subscriptions automatically renew unless canceled. You may manage or cancel your subscription at any time through your account settings.

We use Stripe and other PCI-compliant providers for payment processing. We do not store full credit card details.

10. Intellectual Property

All rights in the Service — including software, design, trademarks, AI models, and documentation — are owned by or licensed to Adverizeo. Nothing in these Terms grants you any rights to our intellectual property except as expressly stated.

You may not copy, modify, distribute, sell, or reverse engineer any part of the Service.

11. Prohibited Uses

You agree not to:

• Use the Service for illegal, fraudulent, or harmful purposes.
• Violate any applicable laws, including GDPR, ePrivacy Directive, or advertising standards.
• Upload or generate content that is defamatory, offensive, or infringes third-party rights.
• Reverse engineer, decompile, or attempt to extract the source code of the AI models.
• Use the Service to spam, phish, or engage in unauthorized data scraping.
• Share your account credentials or allow unauthorized access.
• Use the Service to create deepfakes, impersonate individuals, or generate misleading political ads.

12. Termination

You may terminate your account at any time via your account settings. Adverizeo reserves the right to suspend or terminate your access if you:

• Violate these Terms or misuse the Service.
• Fail to pay fees.
• Pose a risk to security, legality, or other users.

Upon termination, your right to use the Service ends. We may retain certain data as required by law or for legitimate business purposes (e.g., billing records).

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

WE DO NOT GUARANTEE THAT GENERATED CONTENT IS LEGALLY COMPLIANT, ACCURATE, OR SUITABLE FOR YOUR PURPOSE.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ADVERIZEO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO ADVERIZEO IN THE 12 MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless Adverizeo, its affiliates, officers, and employees from any claim or demand (including legal fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your unlawful processing of personal data.
• Any infringement of third-party rights through Generated Content.

16. Changes to These Terms

We may update these Terms from time to time. The most current version will be posted on our website with the "Last updated" date. If changes are material, we will notify you via email or in-app notification.

Continued use of the Service after changes constitutes acceptance. If you do not agree, you must stop using the Service.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles.

We will work in good faith to resolve any dispute arising from these Terms directly with you before pursuing formal action.

If you are a consumer in the EU, you may also have the right to use the EU Online Dispute Resolution (ODR) Platform.
